BY-LAWS
OF
COLLEGE PUBLIC RELATIONS ASSOCIATION OF MISSISSIPPI

 ARTICLE I 

Meetings

Section I. Time of Meetings: An annual meeting of the members of the Association shall take place during the spring of each year.

Section II. Place of Meetings: The annual meeting of the members of this Association shall be held at a location to be determined by the Executive Committee of the Association.

Section III. Notice of Meetings: Notice of the time and place of meetings shall be given by written notice of the Secretary and mailed to all members of the Association.

Section IV. Quorum: A quorum shall constitute two-thirds of the membership of the Association.

Section V. Voting: Voting shall be conducted according to Roberts Rules of Order.

ARTICLE II 

Members

Section I. Membership in the Association shall be open to any full-time employee of a Mississippi private college, university, or junior college who is employed as a member of the institution's public relations or public information staff, and public information or public relations personnel of state governmental educational agencies.

Section II. Associate membership in the Association may be held by any student of a Mississippi private college, university, or junior college who is majoring in public relations, journalism, broadcasting, communications, or advertising, and by public relations or public information personnel of high schools. Associate members shall have no power of voting in the Association.

ARTICLE III 

Board of Directors

Section I. General Powers: The Executive Committee, composed of all officers and members of the Board of Directors, may delegate all the powers granted of this Association and may delegate such powers to members of the Association as it sees fit.

Section II. Number of Directors: There shall be six (6) Directors whose terms of office shall be for one (1) year, or until their successors are elected by the membership. The Board shall include (2) Directors selected from among Mississippi college and university representatives, two (2) Directors from junior colleges, and one (1) Director elected from among other representatives, and the immediate past President of the Association.

Section III. Election of Directors: The Directors shall be elected at the first annual meeting of the members of the Association and annually thereafter by an affirmative vote of the majority of the members of the Association. 

ARTICLE IV

Executive Committee

Section I. Time of Meeting: There shall be an annual meeting of the Executive Committee held during the annual meeting of the Association and at such times as the President may call.

Section II. Quorum: A majority shall constitute a quorum of the Executive Committee.

Section III. Vacancies: Vacancies on the Executive Committee shall be filled by the appointment of the President of the Association. 

ARTICLE V

Officers

Section I. General: There shall be four (4) officers of the Association, a President, a Vice President (President-elect), a Secretary and a Treasurer. Either the President or the President-elect shall be elected from among members representing Mississippi colleges and universities.

Section II. Term of Office: The term of office for each officer shall be for one year.

Section III. Duties of the President: The President of the Association shall be the executive head of the Association and, as such, may delegate such of his authority as he sees fit to other officers and subordinate agents of the Association, except those powers given the President by Article IV. He shall be endowed with such discretionary powers as are required for a business to be run in an orderly and business-like manner and such other duties are incident to his office.

Section IV. Duties of the Vice President (President-elect): The Vice President (President-elect) of the Association shall act in advisory capacity to the President and in the absence of the President, shall perform the duties of the President.

Section V. Duties of the Secretary: The Secretary shall oversee the bookkeeping and record-keeping of the Association. He shall also keep the minutes of all official meetings of the Officers and the Board of Directors and shall perform the functions assigned him by Article VI as well as such other duties and functions as are usual and incident to the office of Secretary.

Section VI. Duties of the Treasurer: The Treasurer shall be responsible for collection dues and maintaining all financial records of the Association. 

ARTICLE VI

Execution of Instruments
Deposit of Association Funds

Section I. Signing of Instruments: All official documents of the Association, such as the By-Laws, Certificates of Membership, and Minutes of Meetings, shall be signed by the President and Secretary of the Association. All other legal instruments, with the exception of those later listed in this Article, which may be signed otherwise, shall be signed in like manner.

Section II. Deposits: The officers of the Association shall select depositories for the funds of the Association, and the President and the Treasurer of the Association shall have the power to sign checks and drafts for the Association.

ARTICLE VII

 Dues

Section I. Annual dues for membership in the Association shall be $25.00 for each institutional member. Dues for Associate Membership shall be $5.00 annually for each membership.

Section II. Annual dues of all members shall be due and payable by November 30.

Section III. No member of the Association may participate in the annual meeting without advance payment of his institutional dues.

ARTICLE VIII

Offices

Section I. Offices: The offices of the Association shall be located at the institution represented by the President of the Association.

ARTICLE IX

 Amendments

Section I. Amendments: These By-Laws may be amended by a majority vote of the members in attendance at a general meeting or polled by letter or telephone or other telecommunication devices.

These By-Laws were adopted on the 17th day of April 1975, by members of the Association.

Articles in addition to, and amendment of, the By-Laws of the College Public Relations Association of Mississippi, proposed by the Board of Directors and ratified by the membership, pursuant to the ninth Article of the original By-Laws.

ARTICLE III

May 26, 1988

Section II. Number of Directors: There shall be nine (9) directors whose terms of office shall be for one (1) year, or until their successors are elected by the membership. The Board shall include three (3) directors elected from among Mississippi four-year private college and university representatives, three (3) directors from the two-year junior and community colleges, two (2) directors elected from among representatives of state governmental agencies, and the immediate past-president of the Association. The nine (9) directors and the four (4) offices (the President, Vice President, Secretary and Treasurer), each of whom has one (1) vote, bring to thirteen (13) the number of executive branch the Association.

ARTICLE V

May 25, 1989

Section I. At the discretion of the Officers and Directors, the Board of Directors may nominate a non-salaried, non-voting Executive Secretary of the Association to serve at the pleasure of the board in administering the Association's day-to-day affairs. If the Board of Directors desires to fill the position, the Executive Secretary shall be elected to a term of one (1) year at the annual meeting of the members and annually thereafter by an affirmative vote of the majority of the members of the Association. 

 ARTICLE VII

 May 31, 1991

Section II. Annual dues of all members shall be due and payable by March 1. the membership year extends from January 1 to December 31.
